The board of directors may adopt such rules and bylaws for the conduct of the business
affairs of the authority as it determines necessary, including the time and place of regular
meetings of the board and a dues structure for membership in the authority. The bylaws may
include weighted voting for board members based on nomination capacity; the existence of a
development agreement, water supply agreement, or project participation agreement; or other
factors the board deems relevant. The board shall elect from its members a chairman and a vice
chairman. The board shall also elect a secretary and a treasurer, which offices may be held by
the same individual, and either or both offices may be held by an individual who is not a
