Text
1.A foreign limited partnership may apply for a certificate of authority to transact
business or conduct activities in this state by delivering an application to the secretary
of state for filing. The application must state:
a.The name of the foreign limited partnership and, if the name does not comply with
section 45-10.2-10, then an alternate name adopted pursuant to subsection 1 of
section 45-10.2-77;
b.The name of the state or other jurisdiction under whose law the foreign limited
partnership is organized;
c.The general character of the business the foreign limited partnership proposes to
transact in this state;
d.The street and mailing address of the principal executive office of the foreign
limited partnership;
e.The name of the registered agent as provided in chapter 10-01.1 a
