Subject to the provisions of chapter 41-03 concerning conversion of instruments (section
41-03-57) and restrictive endorsements (section 41-03-25), only a collecting bank's transferor
may give instructions which affect the bank or constitute notice to it, and a collecting bank is not
liable to prior parties for any action taken under those instructions or any agreement with its
transferor.
