Text
of dissolution.
1.An original of the articles of dissolution must be filed with the secretary of state,
together with the fees provided in section 10-33-140. If the secretary of state finds that
the articles of dissolution conform, the secretary of state shall issue a certificate of
dissolution.
2.When the certificate of dissolution has been issued by the secretary of state, or on a
later date within thirty days after filing if the articles of dissolution so provide, the
corporation is dissolved.
3.The secretary of state shall issue to the dissolved corporation, or its legal
representative, a certificate of dissolution that contains:
a.The name of the corporation;
b.The date the articles of dissolution are effective; and
c.A statement that the corporation was dissolved as of the effe
