A foreign cooperative is authorized to do business in this state when the secretary of state
issues a certificate of authority. In order to procure such certificate, the foreign cooperative shall
make application therefor to the secretary of state and file with a certificate of good standing or
certificate of existence duly authenticated by the incorporating officer of the state or country of
incorporation. The application must set forth:
1.The name of the cooperative and the state or country under the laws of which it is
incorporated.
2.The date of incorporation and the period of duration of the corporation.
3.The address of the principal office of the cooperative.
4.As provided in chapter 10-01.1, the name of the registered agent, and if a
noncommercial registered agent, the address

7. Such additional information as may be necessary or appropriate in order to enable the
secretary of state to determine whether such cooperative is entitled to a certificate of
authority to transact business in this state.
Such application must be made on forms prescribed by the secretary of state and must be
executed by an officer of the cooperative.
