§ 35-14-708 — Conduct Of Meeting

35-14-708 . Conduct of meeting.

(1)At each meeting of shareholders, a chair shall preside. The chair must be appointed as provided in the bylaws or, in the absence of that provision, by the board of directors.
(2)The chair, unless the articles of incorporation or bylaws provide otherwise, shall determine the order of business and may establish rules for the conduct of the meeting.
(3)Rules adopted for the meeting and the conduct of the meeting must be fair to shareholders.
(4)The chair of the meeting shall announce at the meeting when the polls close for each matter voted on. If no announcement is made, the polls are considered to have closed on the final adjournment of the meeting.
