1.If the assent is obtained as provided in section 379.535 , the directors of the company, or a majority of them, or any five stockholders, may sign and acknowledge the articles of association adopted in the same manner provided for the acknowledgment of deeds, and the president and secretary of the meeting shall draw up a declaration in the form of an affidavit verified by them, which shall set forth the proceedings of the meeting, the propositions acted upon, the number of votes cast upon each proposition submitted, the number of votes cast in favor of and the number of votes cast against the same, and, if it be a stock company, the amount of stock held respectively by those voting in favor of and against the same, and if the company be a stock company the amount of stock held by perso
