Any person, or persons, who shall exercise any of the powers, privileges or authority of a limited partnership prior to obtaining a certificate of limited partnership under this chapter or after cancellation or disapproval of such certificate pursuant to subdivision (2) of section 359.681 , shall be deemed guilty of a class B misdemeanor.
