Text

1.  Articles of dissolution shall be executed in triplicate by the corporation by its president and attested to by its secretary.  Triplicate originals of such articles of dissolution shall be delivered to the secretary of state.  If the secretary of state finds that such articles of dissolution conform to the requirements of sections 238.300 to 238.360 and chapter 355 , he shall, without charge:

(1)Endorse on each of such originals the word "filed" and the month, day, and year of the filing thereof;
(2)File one of such originals in his office; and
(3)Issue two certificates of dissolution to each of which he shall affix an original. 2.  A certificate of dissolution together with an original of the articles of dissolution affixed thereto by the secretary of state shall be returned
