As soon as the certificate is recorded under section306.61, the officers elected at the meeting under section306.60may convey and execute deeds for lots in the cemetery for cemetery purposes, and have the same powers and duties and are subject to the same rights and liabilities as if they had been elected in the manner originally provided by the law under which the association was organized or pursuant to its articles or bylaws. After the election provided for in section306.60all meetings must be held and all affairs of the association conducted in the manner provided by law and under the original articles of incorporation of the association.
