Text

A written agreement among persons who are then shareholders or subscribers for shares to be issued, relating to the voting of their shares, is valid and specifically enforceable by and against the parties to the agreement. The agreement may override the provisions of section302A.449regarding proxies and is not subject to the provisions of section302A.453regarding voting trusts.
