Text

Unless prohibited by the articles or bylaws or by a resolution approved by the affirmative vote of a majority of the directors present, an officer may, without the approval of the board, delegate some or all of the duties and powers of an office to other persons. An officer who delegates the duties or powers of an office is subject to the standard of conduct for an officer stated in section302A.361with respect to:

(1)the act of delegation; and (2) the supervision of persons to whom those duties and powers are so delegated.
