Section 19K. Upon consent by the commissioner to the plan of reorganization of a mutual insurer and filing of the plan of reorganization in accordance with the provisions of clause (4) of subsection (a) of section 19H, the commissioner shall issue a new certificate of authority to the reorganized insurer and approve the articles of organization of the mutual holding company and amended articles of organization of the reorganized insurer for filing with the state secretary by attaching thereto a certificate of approval in such form as the commissioner may prescribe. The commissioner instead of the state secretary shall have the power to perform the duties relative thereto specified in section 6 of chapter 156B. The plan of reorganization shall be effective upon the filing of the articles
