Section 8.30. GENERAL STANDARDS FOR DIRECTORS(a) A director shall discharge his duties as a director, including his duties as a member of a committee:

(1)in good faith;

(2)with the care that a person in a like position would reasonably believe appropriate under similar circumstances; and(3) in a manner the director reasonably believes to be in the best interests of the corporation. In determining what the director reasonably believes to be in the best interests of the corporation, a director may consider the interests of the corporation's employees, suppliers, creditors and customers, the economy of the state, the region and the nation, community and societal considerations, and the long-term and short-term interests of the corporation and its shareholders, including the possibility that t

Section 8.30. GENERAL STANDARDS FOR DIRECTORS(a) A director shall discharge his duties as a director, including his duties as a member of a committee:(1) in good faith;(2) with the care that a person in a like position would reasonably believe appropriate under similar circumstances; and(3) in a manner the director reasonably believes to be in the best interests of the corporation. In determining what the director reasonably believes to be in the best interests of the corporation, a director may consider the interests of the corporation's employees, suppliers, creditors and customers, the economy of the state, the region and the nation, community and societal considerations, and the long-term and short-term interests of the corporation and its shareholders, including the possibility that these interests may be best served by the continued independence of the corporation.(b) In discharging his duties, a director who does not have knowledge that makes reliance unwarranted is entitled to rely on information, opinions, reports, or statements, including financial statements and other financial data, if prepared or presented by:(1) one or more officers or employees of the corporation whom the director reasonably believes to be reliable and competent with respect to the information, opinions, reports or statements presented;(2) legal counsel, public accountants, or other persons retained by the corporation, as to matters involving skills or expertise the director reasonably believes are matters (i) within the particular person's professional or expert competence or (ii) as to which the particular person merits confidence; or(3) a committee of the board of directors of which the director is not a member if the director reasonably believes the committee merits confidence.(c) A director is not liable for any action taken as a director, or any failure to take any action, if he performed the duties of his office in compliance with this section.
