Section 13.01. DEFINITIONSIn this PART the following words shall have the following meanings unless the context requires otherwise:''Affiliate'', any person that directly or indirectly through one or more intermediaries controls, is controlled by, or is under common control of or with another person.''Beneficial shareholder'', the person who is a beneficial owner of shares held in a voting trust or by a nominee as the record shareholder.''Corporation'', the issuer of the shares held by a shareholder demanding appraisal and, for matters covered in sections 13.22 to 13.31, inclusive, includes the surviving entity in a merger.''Fair value'', with respect to shares being appraised, the value of the shares immediately before the effective date of the corporate action to which the shareholder de
