§380.23. Duties and powers of the board A. A majority of the board shall constitute a quorum for the transaction of official business. All official actions of the board shall require the affirmative vote of a majority of the members present and voting. B. The board shall:
(1)Meet at least three times a year at the call of the board chairman.
(2)(a) Create an executive committee consisting of the chairman and vice chairman
of the board and other board members as the board may determine.
(b)A majority of the members of the committee shall constitute a quorum for the
transaction of business. However, when the board has delegated to the committee full power
to act with respect to a matter, affirmative action by a majority of the entire committee
membership shall be required.
