§ 9-32-13-12 — Restraint by manufacturer or distributor of sale or transfer of interest by dealer
It is an unfair practice for a manufacturer or
distributor to prevent or require, or attempt to prevent or require, by
contract or otherwise, a dealer or an officer, a partner, or a stockholder
of a dealer to sell or transfer a part of the interest of the officer, partner,
or stockholder to any other person. A dealer, an officer, a partner, or a
stockholder may not sell, transfer, or assign the franchise or a right
under the franchise without the consent of the manufacturer or
distributor. This consent may not be withheld unreasonably.
