Text
A partnership that has registered as a limited
liability partnership is for all purposes the same entity that existed
before the registration and continues to be a partnership under the laws
of this state. If a limited liability partnership dissolves under section 29
of this chapter, a partnership that is a successor to the limited liability
partnership and that intends to be a limited liability partnership is not
required to file a new registration and is considered to have filed any
documents required or permitted under this section that were filed by
the predecessor partnership.
