(a)A registered agent may resign as agent for a represented entity by delivering to the secretary of state for filing a statement of resignation signed by the agent which states:

(1)the name of the entity;

(2)the name of the agent;

(3)that the agent resigns from serving as registered agent for the entity; and

(4)the address of the entity to which the agent will send the notice required by subsection (c).

(b)A statement of resignation takes effect on the earlier of:

(1)the thirty-first day after the day on which it is filed by the secretary of state; or

(2)the designation of a new registered agent for the represented entity.

(c)A registered agent promptly shall furnish to the represented entity notice in a record of the date on which a statement of resignation was filed.

(a) A registered agent may resign as agent for

(c) A registered agent promptly shall furnish to the represented
entity notice in a record of the date on which a statement of resignation
was filed.
(d) When a statement of resignation takes effect, the person that
resigned ceases to have responsibility under this chapter for any matter
thereafter tendered to it as agent for the represented entity. The
resignation does not affect any contractual rights the entity has against
the agent or that the agent has against the entity.
(e) A registered agent may resign with respect to a represented
entity regardless of the entity's status with the secretary of state.
