§ 26-2409 — BUSINESS OF CORPORATION MANAGED BY BOARD OF DIRECTORS

Idaho·Title 26 BANKS AND BANKING·Ch. 24 INDUSTRIAL DEVELOPMENT CORPORATIONS
The business and affairs of the corporation shall be managed and conducted by a board of directors, a president, a vice-president, a secretary, a treasurer, and such other officers and such agents as the corporation by its bylaws shall authorize. The board of directors shall consist of such number, not less than eleven (11) nor more than twenty-one (21), at least two-thirds (2/3) of which directors shall be officers or employees of members, as defined in section 26-2401, Idaho Code, as shall be determined in the first instance by the incorporators and thereafter annually by the stockholders of the corporation.
