§ 489.117 — Resignation of registered agent

1. A registered agent may resign as an agent for a limited liability company or registered
foreign limited liability company by delivering to the secretary of state for filing a statement
of resignation that states all of the following:
a. The name of the limited liability company or foreign limited liability company.
b. The name of the agent.
c. Thattheagentresignsfromservingasregisteredagentforthelimitedliabilitycompany
or foreign limited liability company.
d. The address of the limited liability company or foreign limited liability company to
which the agent will send the notice required by subsection 3.
2. A statement of resignation takes effect on the earlier of the following:
a. The thirty-first day after the day on which it is filed with the secretary of state.
b. Thedesignationofanewregisteredagentforthelimitedliabilitycompanyorregistered
foreign limited liability company.
3. A registered agent promptly shall furnish to the limited liability company or registered
foreign limited liability company notice in a record of the date on which a statement of
resignation was filed.
4. When a statement of resignation takes effect, the registered agent ceases to have
responsibility under this chapter for any matter thereafter tendered to it as agent for the
limited liability company or registered foreign limited liability company. The resignation
does not affect any contractual rights the company or foreign company has against the agent
or that the agent has against the company or foreign company.
5. A registered agent may resign with respect to a limited liability company or registered
foreign limited liability company whether or not the company or foreign company is in good
standing.
