Text
On application by or for a partner, the court may decree dissolution of a limited partnership whenever:
(1)It is not reasonably practicable to carry on the business in conformity with the partnership agreement; or (2) A general partner has been guilty of such misconduct as tends to affect prejudicially the carrying on of the business.
