Text

(a)A director may resign at any time by delivering notice in writing or by electronic transmission to the presiding officer of the board of directors, the secretary, or the chief executive officer or in such other manner as the articles or bylaws may provide.
(b)A resignation is effective when the notice is delivered unless the notice specifies a later effective date or an effective date determined by the happening of an event.
(c)A resignation that is conditioned upon the happening of an event may provide that such resignation is irrevocable.
