Text

For purposes of this part, the definitions contained in Code Section 14-2-1110 shall be applicable with the following exceptions:

(1)For purposes of this part, "business combination" means:
(A)Any merger or consolidation of the resident domestic corporation or any subsidiary with:
(i)any interested shareholder; or (ii) any other corporation, whether or not itself an interested shareholder, which is, or after the merger or consolidation would be, an affiliate of an interested shareholder that was an interested shareholder prior to the consummation of the transaction other than as a result of the interested shareholder's ownership of the resident domestic corporation's voting stock;
(B)Any sale, lease, transfer, or other disposition, other than in the ordinary course of business, in one
