(1)For purposes of this section:
(a)“Affiliate” means a person who directly, or indirectly through one or more intermediaries, controls or is controlled by, or is under common control with, a specified person.
(b)“Affiliated transaction,” when used in reference to the corporation and any interested shareholder, means: 1. Any merger or consolidation of the corporation or any subsidiary of the corporation with: a. The interested shareholder; or b. Any other corporation, partnership, limited liability company, or other entity, in each case, whether or not itself an interested shareholder, which is, or after such merger or consolidation would be, an affiliate or associate of the interested shareholder; 2.
