§ 37-42-110 — Directors to organize - powers

(1) On the same day the board of
directors is elected, and immediately following the meeting at which they were
elected, the board shall meet for the purpose of organization of the board. It shall
select one of its own members as president of the irrigation district and shall select
a secretary who may or may not be a member of the board.

(2) (a) The board of directors shall be the governing body of the irrigation
district for which it is elected and shall have the power to make and alter bylaws,
rules, and regulations for the distribution of water and for the conduct of the
district business not inconsistent with the laws of the state of Colorado and to
make such contracts and employ such persons as are necessary for the conduct of
the affairs of the district, in general exercising the usual and ordinary functions of
management of the district, including, when specifically authorized by vote of the
landowners so to do, to cooperate with the United States under the federal
reclamation laws or any other federal laws enacted by the congress of the United
States for the purpose of the construction of irrigation works, including drainage
works necessary to maintain the irrigability of the land, or for the acquisition,
purchase, extension, operation, or maintenance of constructed works, or for the
assumption as principal or guarantor of indebtedness to the United States on
account of district lands.

(b) It is also the duty of the board to make an annual report of the district
showing the status of its affairs generally, including full lists of assets and
liabilities, warrants and bonds outstanding, and such as have been paid or retired
during the last fiscal year, and to present the report to the landowners at or before
the annual election.

(3) As compensation for service as directors, each person so acting is
entitled to receive one hundred dollars for each day necessarily spent in the
discharge of district business and such expenses as are necessarily incurred in the
conduct of its affairs; except that, after the first year, the landowners may fix other
compensation by vote at any annual or special election.

(4) Repealed.

(5) No director or any officer named in this article shall be interested directly
or indirectly, in any manner, in any contract awarded or to be awarded by the board
or in the profits to be derived therefrom, nor shall he receive any bonds, gratuity, or
bribe.

(6) Any officer who violates this section commits a class 6 felony and shall
be punished as provided in section 18-1.3-401, C.R.S. He or she shall also forfeit his
or her office upon conviction.

(7) If it is found necessary by the board of directors to employ judges of
election, each judge is entitled to receive as compensation for his or her services
the sum of one hundred dollars per day to be paid by the district; except that the
landowners may fix other compensation by vote at any annual or special election.
