§ 1152. — 1152. (Amended by Stats. 2022, Ch. 237, Sec. 3.)

California·Code CORP Corporations Code - CORP·Div. 1.·Title 1. DIVISION 1. GENERAL CORPORATION LAW·Ch. 11.5. CHAPTER 11.5. Conversions
(a)A corporation that desires to convert to a domestic other business entity, foreign other business entity, or foreign corporation shall approve a plan of conversion. The plan of conversion shall state all of the following:
(1)The terms and conditions of the conversion.
(2)The name, form, and jurisdiction of organization of the converted entity after conversion.
(3)The manner of converting the shares of each of the shareholders of the converting corporation into securities of, or interests in, the converted entity.
(4)The provisions of the governing documents for the converted entity, including the partnership agreement if the converted entity is a partnership, the articles of organization or certificate of formation and operating agreement if the converted entity is a limited liabil
