A.The secretary of the board shall immediately make out and deliver to the persons elected a certificate of election, signed by him and authenticated with the seal of the board.
B.If a vacancy occurs in the board of directors by death, removal or disability resulting in inability of a director to discharge his duties properly, the vacancy shall be filled by appointment by the remaining members of the board. The appointee shall be a resident of the division in which the vacancy occurs if the director was elected from a division of the district, and if elected at large, the appointee shall be a qualified elector of the district.
