(a)The authority shall be governed by a board of directors. All powers of the authority shall be exercised by the board or pursuant to its authorization. The board shall consist of up to 24 directors who shall be designated as hereinafter provided.

(d) Initially, the directors shall be the city council members elected to serve Districts 4, 5, 6, 7, and 8. The mayor of the city, county commission members in Districts 1, 2, and 4, the chair of the county commission, and state legislators from Districts 73, 74, 75, 76, 77, and 78 and Senate Districts 25 and 26, as established as of May 22, 2009. The members of the board who are city council members or the mayor the city, shall be classified as Class A directors. The members of the board who are county commission members, including the chair of the county commission, shall be classified as Class B directors. The members of the board who are state legislators shall be classified as Class C directors. Each class of directors shall have the same powers and duties, except that only Class C directors shall be responsible for approval or disapproval of any proposed alteration in the boundaries of the I-65 corridor geographic area. Any alteration in the boundaries of the I-65 corridor area as approved by the Class C directors must be approved in accordance with the procedures set forth in Section 45-51A-31.22. Further-more, the Class A and B directors shall constitute an independent subcommittee, which shall be responsible for examining and identifying the areas within the I-65 corridor geographic area in serious need and the specific problems of the areas determined to be priority areas.
(e) If at the expiration of any term of office of any director, a successor thereto shall not have been appointed, then the director whose term of office shall have expired shall continue to hold office until his or her successor shall be so elected or appointed. If a city council member, county commission member, state legislative member, the mayor, or the chair of the county commission shall be serving as a director, their term shall expire as of the date they are no longer elected to represent such district or office, or no longer hold such office or position due to resignation, removal, or impeachment. If at any time there should be a vacancy on the board, a successor director, which shall be such person elected or succeeding the respective public office which the previous member of the board held, to serve for the remaining term applicable to such public office. Each director must be a duly qualified elector of the city or county. Each director, to the extent approved in writing by the board of directors prior to such expenditure, shall be reimbursed for expenses actually incurred by him or her in and about the performance of his or her duties. Any director of the authority may be impeached and removed from office in the same manner and on the same grounds provided in Section 175 of the Constitution of Alabama of 1901 and the general laws of the state for impeachment and removal of the officers mentioned in Section 175.
