This matter is before the Court on Plaintiffs’ Motion for Leave to File a Second Amended Complaint.1 Plaintiffs seek to amend the Complaint to name additional Defendants and to include additional allegations. Defendants have not responded to the Motion and the time for doing so has expired.2 Generally, once a responsive pleading is filed, “a party may amend its pleading only with the opposing party’s written consent or the court's leave.”3 “The court should freely give leave when justice so requires.”4 “In the absence of any apparent or declared reason—such as undue

P. 15(a)(2). 4 Id. delay, bad faith or dilatory motive on the part of the movant, repeated failure to cure deficiencies by amendments previously allowed, undue prejudice to the opposing party by virtue of allowance of the amendment, futility of amendment, etc.—the leave sought should, as the rules require, be ‘freely given.’ Here, there is no evidence of undue delay, bad faith, dilatory motive, repeated failures to cure, undue prejudice, or futility. Therefore, leave will be given. It is therefore ORDERED that Plaintiffs’ Motion for Leave to File a Fourth Amended Complaint (Docket No. 40) is GRANTED.
