Judgment for defendants in action to compel the performance of an agreement that articles of incorporation and by-laws were to provide that the interests of each of the plaintiffs and of defendants Smith and Ryder should be equally and fully protected against change in the corporate structure affirmed, with costs. No opinion Lazansky, P. J., Hagarty, Tompkins and Davis, JJ., concur; Carswell, J., dissents on the ground that the determination is against the weight of the evidence.
