Clarke, J.:

This action was commenced on March 17, 1892, to enforce the statutory liability of Granville P. Hawes and other defendants as directors of the American Loan and Trust Company under the charter of that company. Section 11 of that charter (Laws of 1872, chap. 868, as amd. by Laws of 1874, chap. 486 ; Laws of 1880, chap. 489 ; Laws of 1882, chap. 391, and Laws of 1884, cliap. 260),
